Terms and Conditions

1. Definitions
CaseNine: CaseNine B.V., reseller and implementation partner of RevOpsScan.
Customer: any legal entity that uses RevOpsScan.
RevOpsScan: the analytics and scanning solution for Salesforce environments offered by CaseNine.
Hubble: Hubble (hubbl.com), provider of the underlying software and technology.

2. Applicability of
These terms and conditions apply to all quotes, agreements, and services related to RevOpsScan, unless otherwise agreed in writing.

3. Services
RevOpsScan provides insight into business processes, Salesforce configurations, technical debt, data quality, and AI readiness.
CaseNine provides RevOpsScan as a reseller and implementation partner of Hubble.
The results of RevOpsScan are advisory in nature and do not guarantee specific business outcomes.

4. Use of Third-Party Software
RevOpsScan uses software and technology developed by Hubble.
CaseNine provides access to this software as a reseller and service provider.
All intellectual property rights relating to the software remain the property of Hubble and/or its licensors.
The Customer is granted only a limited right of use for the term of the agreement.

5. Customer Obligations
The Customer shall provide timely access to relevant Salesforce environments, data, and user permissions.
The Customer is responsible for the accuracy and completeness of the information provided.

6. Fees and Payment
All prices are exclusive of VAT, unless otherwise stated.
Invoices must be paid within 14 days of the invoice date.
In the event of late payment, CaseNine reserves the right to suspend services or access to RevOpsScan.

7. Confidentiality
Both parties shall treat confidential information as strictly confidential and shall use it solely for the purpose of performing the agreement.

8. Liability
CaseNine is liable only for direct damages resulting from demonstrable shortcomings in its services.
Any liability is limited to the amount paid by the Customer for the service in question during the preceding 12 months.
CaseNine is not liable for indirect damages, consequential damages, loss of revenue, data loss, or lost savings.

9. Privacy and Data
The Customer retains ownership of all data provided.
CaseNine processes data solely for the purpose of performing RevOpsScan and in accordance with applicable privacy laws.
If required, the parties will enter into a separate data processing agreement.

10. Termination
Either party may terminate the agreement in writing if the other party materially fails to fulfill its obligations.

11. Governing Law
These terms and conditions are governed by Dutch law. Any disputes shall be submitted to the competent court in the Netherlands.
